Terms of Service

Effective Date: January 1, 2025

1. Acceptance of Terms

By accessing starbloomconsulting.com or engaging Starbloom Consulting LLC ("Starbloom," "we," "us," or "our") for platform deployment services, you agree to be bound by these Terms of Service. If you do not agree, do not use our website or services.

2. Service Description

Starbloom provides an Edge AI & Automation Orchestration Platform consisting of:

  • Edge AI Orchestration: Pre-configured local automation appliances running n8n workflows on client-owned hardware.
  • 24/7 AI Intake Engine: Conversational AI voice and SMS agents for lead capture and qualification.
  • Legacy Data Bridge: Vision-RPA agents that extract data from closed-source legacy systems and stream to cloud visualization platforms.

All platform components are deployed on client-owned hardware. Starbloom provides configuration, orchestration, and support services. We do not host, store, or process client operational data on our infrastructure.

3. Private Beta Program

As of the effective date, all Starbloom platform deployments are conducted through a Private Beta Cohort program. Beta participation means:

  • Pricing, feature availability, and support levels are subject to refinement based on cohort feedback.
  • Deployment timelines are scheduled by cohort availability and may be subject to queue prioritization.
  • Beta participants receive priority access to platform updates and direct input into the product roadmap.

4. Deployment Agreements

Each platform deployment is governed by a separate deployment agreement detailing scope, timeline, hardware specifications, integration targets, and support terms. These Terms of Service provide the general framework. The deployment agreement controls in the event of any conflict.

5. Client Responsibilities

Clients are responsible for:

  • Providing compatible hardware meeting minimum specifications.
  • Maintaining network connectivity as required for outbound tunnel operation.
  • Securing their own credentials for integrated third-party services (Twilio, Google Cloud, Vapi, etc.).
  • Reviewing and accepting the terms and privacy policies of any integrated third-party services.
  • Ensuring compliance with all applicable laws and regulations in their jurisdiction.

6. Intellectual Property

Starbloom retains all rights to its platform configuration methodologies, workflow templates, orchestration patterns, and documentation. Clients retain full ownership of their own operational data, custom workflow configurations developed post-deployment, and any proprietary business logic implemented on the platform.

The Starbloom name, logo, and brand marks are the property of Starbloom Consulting LLC. The platform stack components (n8n, Docker, Ollama, Cloudflare Tunnel, etc.) are the property of their respective owners and are used under their respective open-source or commercial licenses.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARBLOOM CONSULTING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising from platform deployment services shall not exceed the amount paid by the client for the specific deployment giving rise to the claim.

8. No Warranty

The platform and services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Starbloom does not warrant that the platform will be uninterrupted, error-free, or completely secure.

9. Third-Party Integrations

The platform integrates with third-party services including but not limited to Twilio, Vapi, Retell, Google Cloud Platform (BigQuery, Looker Studio), and various CRM systems. Starbloom is not responsible for the availability, reliability, or data handling practices of these third-party services. Integration-related issues caused by third-party API changes, outages, or policy updates are outside Starbloom's control.

10. Termination

Either party may terminate a deployment agreement with 30 days written notice. Upon termination, the client retains all hardware, data, and local configurations. Starbloom will provide reasonable transition assistance as defined in the deployment agreement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Washington County, Maryland.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the website or platform after changes constitutes acceptance of the modified Terms.
